Terms of Service

These Terms of Service ("Terms") govern purchases, procurement services, sourcing services, logistics coordination, and related services provided by HLJA Global LLC ("HLJA," "we," "us," or "our").

By accepting a quotation, approving an order, making payment, or instructing HLJA to proceed with a transaction, the customer ("Customer," "you," or "your") agrees to these Terms.

1. Our Services

HLJA provides sourcing, procurement, purchasing, supplier coordination, inspection coordination, consolidation, freight coordination, and related services.

Services may include sourcing products from the United States and other countries, obtaining and negotiating supplier quotations, coordinating purchases, arranging transportation, and supporting international delivery.

The specific products, services, pricing, fees, and responsibilities applicable to an order will be stated in the relevant quotation, invoice, Order Confirmation, Procurement Authorization, or other transaction document.

2. Our Role

Depending on the transaction, HLJA may act either as:

• an independent seller or reseller of goods; or
• a procurement or purchasing agent acting on behalf of the Customer.

Where HLJA purchases goods in its own name for resale to the Customer, HLJA acts as the seller.

Where HLJA is engaged to procure goods on behalf of the Customer, HLJA acts as a procurement agent and earns the service or procurement fee stated in the applicable transaction documents.

For new vehicle procurement undertaken on behalf of a Customer, HLJA may act as a procurement agent by sourcing and negotiating the vehicle and coordinating the transaction for the Customer. Ownership and purchase documentation may be placed in the Customer's or Customer's designated entity's name as applicable.

The applicable transaction documents will determine HLJA's role for a particular order.

3. Quotes and Orders

Quotations are based on information available when issued.

Supplier prices, availability, exchange rates, transportation costs, duties, taxes, and other third-party costs may change before an order is completed.

HLJA will obtain Customer approval before proceeding with material changes to an approved order.

The Customer is responsible for reviewing product specifications, quantities, pricing, condition, and other material information before authorizing HLJA to proceed.

Once HLJA places an order or commits funds at the Customer's direction, the Customer may be responsible for any non-refundable supplier costs, cancellation fees, restocking charges, transportation expenses, or other costs already incurred.

4. Payment and Fees

Payment requirements will be stated in the applicable transaction documents.

HLJA may require payment in full, deposits, procurement fees, estimated freight, or other transaction costs before purchasing or releasing goods.

Unless agreed otherwise in writing, HLJA is not required to advance its own funds or extend credit to a Customer.

HLJA's procurement or service fee may be fixed, percentage-based, or otherwise agreed for the transaction.

Bank charges, foreign-exchange costs, intermediary fees, duties, taxes, transportation expenses, insurance, and third-party charges may be charged separately unless expressly included in the quoted price.

5. Suppliers, Products, and Warranties

HLJA may source goods from manufacturers, authorized distributors, dealers, wholesalers, retailers, or other suppliers.

HLJA uses commercially reasonable efforts when sourcing and coordinating purchases, but supplier inventory, pricing, lead times, warranties, return policies, and performance remain subject to the applicable supplier.

Unless expressly stated otherwise, product warranties are provided by the manufacturer or supplier rather than HLJA.

Where inspection or verification is provided, its scope may be limited to matters such as quantity, visible condition, packaging, model information, or serial numbers unless specialized testing is expressly agreed.

6. Shipping, Customs, and Delivery

HLJA may coordinate domestic transportation, warehousing, consolidation, international freight, customs support, and delivery through third-party logistics providers.

Shipping and delivery dates are estimates unless expressly guaranteed.

International transactions may be subject to customs duties, taxes, permits, inspections, product certifications, brokerage charges, port charges, storage fees, and other governmental or logistics costs.

Responsibility for these amounts, the importer of record, insurance, delivery terms, and risk of loss may be specified in the applicable transaction documents.

HLJA is not responsible for delays caused by carriers, customs authorities, ports, suppliers, government actions, weather, or other circumstances outside HLJA's reasonable control.

7. International Trade Compliance

HLJA will not knowingly participate in transactions prohibited by applicable export-control, sanctions, customs, or other trade laws.

HLJA may request information concerning the purchaser, consignee, end user, destination, intended use, or other transaction parties where reasonably necessary.

HLJA may decline, suspend, or cancel a transaction where proceeding may violate applicable law or create material compliance risk.

Customers must provide accurate information and may not use HLJA's services to obtain, export, transfer, or divert goods unlawfully.

8. Returns and Cancellations

Returns are subject to the applicable supplier or manufacturer return policy unless HLJA expressly agrees otherwise in writing.

Some goods, including customized, special-order, clearance, auction, or internationally sourced items, may be non-returnable.

Once a supplier order has been placed or funds have been committed, cancellation may be subject to supplier approval and any resulting costs.

HLJA's procurement or service fees are not automatically refundable because a supplier accepts a return or cancellation.

9. Limitation of Liability

To the maximum extent permitted by applicable law, HLJA will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost production, or business interruption.

HLJA is not responsible for acts or omissions of independent suppliers, carriers, warehouses, freight forwarders, customs brokers, insurers, or other third-party service providers except to the extent liability arises directly from HLJA's own legally actionable conduct.

Any limitations or allocations of liability specific to a transaction may also be stated in the applicable transaction documents.

10. Privacy and Confidentiality

HLJA handles personal information in accordance with its Privacy Policy.

Customer and transaction information may be shared with suppliers, financial institutions, logistics providers, customs brokers, insurers, professional advisers, or government authorities where reasonably necessary to complete a transaction or comply with applicable law.

HLJA will use commercially reasonable measures to protect nonpublic Customer information in its possession.

11. Transaction Documents

For larger, specialized, or recurring transactions, HLJA may require an Order Confirmation, Procurement Authorization, Master Procurement Agreement, Vehicle Procurement Agreement, or other written agreement.

If a transaction-specific agreement conflicts with these Terms, the transaction-specific agreement will control with respect to that transaction.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, USA, except where applicable law requires otherwise.

The parties will first make reasonable good-faith efforts to resolve disputes directly.

Unless a separate written agreement provides otherwise, legal proceedings arising from these Terms or an HLJA transaction will be brought in a court of competent jurisdiction in the State of Georgia.

13. Changes to These Terms

HLJA may update these Terms from time to time.

Updated Terms will apply prospectively from the effective date posted on the HLJA website and will not retroactively change the terms of a completed transaction unless required by law or agreed by the parties.
